Continental Re to Launch Botswana’s First IPO Since 2017, Targeting $155 Million

GABORONE, Sept 2 – Continental Reinsurance Holdings Ltd. is preparing to launch an initial public offering on the Botswana Stock Exchange, marking the bourse’s first IPO since 2017 as the pan-African reinsurer seeks capital to expand its presence in Africa’s underinsured markets.

The company is targeting proceeds of about 2.13 billion pula ($155 million) from the offering. About one-fifth of the funds raised will be directed towards pursuing growth opportunities across Africa, while the remaining proceeds will be used to provide an exit for existing shareholders.

The planned transaction represents a notable development for Botswana’s capital market, which has not recorded an initial public offering in almost a decade. For Continental Reinsurance, the listing provides access to domestic and international investors while creating additional capital to support its expansion strategy.

The company is positioning the fundraising around the relatively low level of insurance and reinsurance penetration across many African markets. Expanding coverage in these markets could create opportunities for reinsurers as businesses and economies seek greater protection against financial and operational risks.

The allocation of proceeds indicates that the IPO will serve both growth and shareholder-liquidity objectives. The portion dedicated to expansion is expected to provide Continental Reinsurance with additional resources to pursue opportunities across the continent, while the balance will facilitate the sale of holdings by existing investors.

The transaction could also provide a renewed catalyst for activity on the Botswana Stock Exchange by bringing a sizeable new equity offering to the market. Its success may offer a signal of investor appetite for African financial-services companies and potentially encourage other businesses to consider Botswana as a venue for raising capital.
